Shed Happens LLC — End User License Agreement & Terms of Service

Effective Date: July 8, 2026

This End User License Agreement (this "Agreement," "EULA," or "Terms") is a binding contract between you ("you" or "User") and Shed Happens LLC ("Shed Happens," "we," "us," or "our"). It governs your access to and use of the Shed Happens mobile application, our websites, and related services (collectively, the "Service"), offered in the United States and Canada.

By downloading, installing, or using the Service, you agree to this Agreement and to our Privacy Policy. If you do not agree, do not use the Service.

THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER IN SECTION 14. PLEASE READ IT CAREFULLY. Depending on where you live, some of these terms may not apply to you (see Section 14).

1. Eligibility and Account

You must be at least 13 years old to create an account. If you are under the age of majority in your jurisdiction, you may use the Service only with the supervision of a parent or legal guardian who has read and accepted this Agreement on your behalf. You agree to provide accurate account information, keep it current, and keep your password secure. You are responsible for all activity under your account.

2. License Grant

Subject to your compliance with this Agreement, Shed Happens grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on devices you own or control, solely for your personal, non-commercial use (or, if applicable, legitimate professional outdoor and conservation use consistent with this Agreement). All rights not expressly granted are reserved by Shed Happens.

3. Free Features, Usage Limits, Purchases, and Refunds

  • Free features may be subject to usage limits — for example, the number of Shed Hunter Steve messages you may send in a calendar month. We may adjust these limits over time.
  • Optional paid subscriptions (for example, an "Elite" tier) may be offered and, if offered, unlock higher or unlimited usage. Where a subscription is offered, it auto-renews at the end of each billing period unless you cancel beforehand through your Apple ID settings, and we will present the price, billing frequency, renewal terms, and cancellation method clearly and obtain your affirmative agreement before charging you. Apple's standard refund policies apply.
  • One-time and physical purchases. Products such as the "Field Kit" (a physical tape measure and BFA reference card) are sold through our web store rather than through in-app purchase, because Apple does not permit in-app purchase of physical goods. One-time purchases are generally non-refundable except where required by law or where the seller grants a refund.

Pricing is shown at the time of purchase. We may change pricing for future billing periods with reasonable advance notice.

4. User Content

What You Submit

"User Content" means anything you upload, capture, submit, or otherwise make available through the Service, including photos, GPX files, pins, measurements, notes, scorecards, comments, and feedback.

You Retain Ownership

You keep ownership of your User Content. You represent and warrant that you have all rights necessary to submit it and that doing so does not violate any third party's rights.

License to Shed Happens

By submitting User Content, you grant Shed Happens LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, create derivative works of, publicly display, and use your User Content to:

  • Operate, maintain, and improve the Service for you and other users.
  • Train, validate, benchmark, and improve our artificial intelligence and machine learning models, including measurement, segmentation, classification, and intelligence engines.
  • Generate de-identified, aggregated datasets that we may use or license for product development, conservation research, and partnerships — including with state, provincial, and federal wildlife and conservation agencies, academic and scientific researchers, and conservation organizations — handled as described in our Privacy Policy and in a form that cannot reasonably identify you or your precise locations.
  • Promote and market the Service, where you have given express permission or the content has been de-identified.

This license continues for as long as we retain your User Content and survives the deletion of your account to the extent your User Content has been incorporated into trained models, de-identified or aggregated datasets, or backups, in accordance with our Privacy Policy.

Derived Data and Algorithms Belong to Shed Happens

All measurements, scores, classifications, model weights, training datasets, algorithms, software, segmentation outputs, intelligence reports, and other outputs and derivatives generated by the Service ("Derived Data") are and will remain the exclusive property of Shed Happens LLC and its licensors. Nothing in this Agreement transfers ownership of Derived Data, the Service, or our intellectual property to you. You acknowledge that the Service is protected by U.S. Patent No. 12,412,293 and related continuations, additional pending patent applications, and U.S. and international copyright, trademark, and trade-secret laws.

5. Acceptable Use

You will not, and will not permit anyone to:

  • Use the Service to violate any law, regulation, or hunting or wildlife rule, including unlicensed hunting, hunting out of season, hunting prohibited species, or trespassing.
  • Harass, threaten, or harm any person, or share another person's private location data without consent.
  • Reverse engineer, decompile, disassemble, scrape, or attempt to extract the source code, models, weights, or training datasets of the Service, except where that restriction is prohibited by law.
  • Bypass any access control, paywall, or rate limit, or use automated tools to interact with the Service without permission.
  • Submit content that infringes another person's intellectual property, privacy, or publicity rights.
  • Submit content that is unlawful, fraudulent, deceptive, defamatory, or obscene, or that depicts animal cruelty, poaching, or unethical hunting.
  • Use the Service to build or improve a competing product, dataset, or model, including by scraping our model outputs.
  • Resell, sublicense, or redistribute the Service or its outputs without our written permission.

6. Fair Chase and Ethical Hunting

Shed Happens supports lawful, ethical, and fair-chase hunting. The Service is not designed to enable real-time tracking of animals, real-time location-sharing of game, or other practices contrary to fair-chase principles. We may suspend or terminate accounts we reasonably believe are used to support unethical or unlawful hunting.

7. Beta and Experimental Features

Some features are offered as "beta," "preview," or "experimental" and may be inaccurate, incomplete, or unavailable at times. Antler scoring outputs, Steve insights, and other AI-generated information are estimates and must not be relied on as definitive measurements or wildlife guidance. You are responsible for independently verifying all measurements, regulations, and hunting decisions.

8. Third-Party Services

The Service may interoperate with third-party services (for example, the Apple App Store, Apple Speech Recognition, Anthropic Claude, Stripe, RevenueCat, mapping providers, and government data sources), each governed by its own terms. We are not responsible for, and do not endorse, third-party services or content.

9. Apple-Specific Terms

If you obtained the Service through the Apple App Store: this Agreement is between you and Shed Happens only, not Apple; Apple has no obligation to provide maintenance or support; if the Service fails to conform to any applicable warranty, Apple will refund the purchase price (if any) and, to the maximum extent permitted by law, has no other warranty obligation; Shed Happens, not Apple, is responsible for product-liability claims, claims that the Service fails to meet legal requirements, and third-party intellectual-property claims relating to the Service; and Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.

10. Termination

You may stop using the Service at any time and delete your account through the in-app account-deletion flow. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated this Agreement, if continuing to provide the Service exposes us to legal or financial risk, or if we discontinue the Service. Sections 4, 5, and 11 through 17 survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHED HAPPENS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MEASUREMENTS, SCORES, INTELLIGENCE OUTPUTS, OR WILDLIFE DATA WILL BE ACCURATE OR CURRENT. YOU ARE SOLELY RESPONSIBLE FOR YOUR HUNTING DECISIONS, LEGAL COMPLIANCE, AND PERSONAL SAFETY. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHED HAPPENS AND ITS OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the limitation of certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Shed Happens and its officers, employees, agents, affiliates, and licensors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your User Content, (c) your violation of this Agreement, or (d) your violation of any law or third-party right.

14. Governing Law and Dispute Resolution

Governing Law. This Agreement is governed by the laws of the State of Utah, without regard to its conflict-of-law principles; the United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing in this Section deprives you of the protection of mandatory consumer-protection laws of the state or province where you reside. Informal Resolution. Before filing a claim, you and Shed Happens agree to try to resolve it informally for at least 60 days by contacting chuck@shedhappensllc.com. Binding Arbitration. If the dispute is not resolved informally, you and Shed Happens agree to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or the Service through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Utah or, at your election, in your county or region of residence. Each party bears its own costs except where the rules require otherwise. Delegation. The arbitrator decides all issues of arbitrability, including the scope, enforceability, and formation of this arbitration agreement — except that a court, not an arbitrator, decides the enforceability of the Class Action Waiver below. Class Action Waiver. YOU AND SHED HAPPENS AGREE TO BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Non-severability: if this Class Action Waiver is found unenforceable as to a particular claim, then that claim will proceed in court rather than in arbitration, while this arbitration agreement remains in full force for all other claims. Coordinated / Mass Arbitration. If 25 or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, the parties agree the demands will be administered in staged batches to promote efficiency, with filing fees and timelines adjusted accordingly. Canada / Quebec. Nothing in this Section waives any right that cannot be waived under the mandatory consumer-protection law of your province. For residents of Quebec, the Class Action Waiver and mandatory-arbitration provisions do not apply to the extent Quebec law makes them unenforceable, and you retain your right to bring proceedings before the courts of Quebec. Exceptions. Either party may bring a qualifying claim in small-claims court, and either party may seek injunctive relief in court for misuse of intellectual property. Opt-Out. You may opt out of arbitration by sending written notice to chuck@shedhappensllc.com within 30 days of first accepting this Agreement.

15. General

  • Entire Agreement & Order of Precedence. This Agreement and our Privacy Policy are the entire agreement between you and Shed Happens regarding the Service. If they conflict, this Agreement controls for licensing and conduct terms, and the Privacy Policy controls for data-handling terms.
  • Changes. We may update this Agreement. Material changes will be notified through the app, by email, or on our website. Your continued use after the effective date is your acceptance.
  • Severability; Assignment; No Waiver; Headings. If any provision is unenforceable, the remaining provisions stay in effect. You may not assign this Agreement without our written consent; we may assign it freely, including in a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Headings are for convenience only.

16. Copyright / DMCA

We respect intellectual property. If you believe content on the Service infringes your copyright, send a notice containing the elements required by 17 U.S.C. §512(c)(3) to our designated agent: Shed Happens LLC, Attn: Chuck McFarland, chuck@shedhappensllc.com. We will respond to valid notices, may remove infringing content, and may terminate repeat infringers. You may submit a counter-notice if your content was removed in error.

17. Export Controls and Sanctions

You represent that you are not located in, and will not use the Service from, any country or region subject to comprehensive U.S. or Canadian sanctions, and that you are not identified on any U.S. or Canadian restricted-party or sanctions list. You will comply with all applicable export-control and sanctions laws.
